Energy Wire Contractor Terms Of Service

 

Energy Wire ("We", "Us"" or Energy Wire) is owned and operated by J. Holt & Associates. We provide and maintain an Internet Web site (the "Site") for the benefit of users of our services ("contractor", "You" or "User").

Energy Wire reserves the right to change or modify any of the terms and conditions contained in this Agreement at any time and from time to time in its sole discretion, and to determine whether any such changes apply to both existing or future. Energy Wire may make changes or modifications to referenced policies or guidelines without notice to you. Your continued use of the Services following Energy Wire's posting of any changes or modifications will constitute your acceptance of such changes or modifications.

1. ACKNOWLEDGMENT AND ACCEPTANCE.

PLEASE READ THE FOLLOWING TERMS OF THIS AGREEMENT CAREFULLY. BY COMPLETING THE REGISTRATION PROCESS, YOU ACCEPT AND AGREE TO ALL OF THE TERMS AND CONDITIONS SET FORTH IN THIS AGREEMENT AND IN OUR PRIVACY POLICY. YOU HEREBY ACKNOWLEDGE THAT YOU ARE 18 YEARS OF AGE OR OLDER.

FURTHERMORE, BY REGISTERING WITH OUR ENERGY WIRE SERVICES YOU AGREE TO ADHERE TO THE FOLLOWING STANDARDS AND PRINCIPLES:

* Your company has been in business in your area for at least one year.
* Your company is fully licensed, bonded and insured as required in your jurisdiction.
* You will provide complete disclosure to your customers of any guarantees or warranties, terms of a written contract and the total cost of your services including taxes and any other charges.
* You will comply with all safety and health requirements and practices.
* You will provide your services in complete compliance of codes in your jurisdiction including laws and industry standards.
* You will honestly provide both verbal and written disclosures to the customer of services and products to be provided.

2. PAYMENT FOR SERVICES.

You shall pay Energy Wire for the Services in accordance with the Agreement. Federal, state and local taxes are all included in our rates. A $15 collection fee will be charged for all dishonored checks. A $15  fee will be assessed for the following reasons: payment with insufficient funds, denied or invalid credit card number. You understand that fees paid for the Services are nonrefundable.

3. DISCLAIMER.

Energy Wire cannot and does not control whether or not prospective customers will complete the process of hiring a provider for the services they are seeking. In the event a Contractor has a dispute with one or more prospective customers, the Contractor releases Energy Wire and its agents and employees from claims, demands, and damages arising out of or in any way connected with that dispute. Energy Wire is not involved in any actual transactions between Contractor and prospective customers. As a result, Energy Wire has no control over the ability of prospective customers to purchase services or qualify for financing or any other form of credit.  Energy Wire cannot and does not guarantee that each prospective customer is whom they claim to be. In addition, Energy Wire does not guarantee the number of prospective customers you will receive using our service.

4. INDEMNIFICATION.

You agree to defend, indemnify and hold harmless Energy Wire, its parent entities, subsidiaries, affiliates, officers, and employees, from any and all claims and demands, including attorneys' fees, due to or arising from your use of the Site or the Service, and any other conduct related in any way to the Service or the Site, including but not limited to breaching any warranty or provision contained in these Terms of Use.

5. NATURE OF AGREEMENT.

You agree that your completion of the registration procedure constitutes agreement to these Terms of Service. Further, these Terms of Service are the entire and only agreement between you and Energy Wire and supersede any prior or other understandings, representations or warranties including, but not limited to, any nondisclosure agreements, purchase orders, license agreements, service agreements, invoices or other terms and conditions that you may provide to us in respect of the Site or Services. You agree that each use of the Services and the Site reaffirms your acknowledgment and agreement to the most current version of these Terms of Service.

6. COPYRIGHT.

All content included on this Site, such as text, graphics and logos, is the property of Energy Wire or its content suppliers and protected by United States and international copyright laws. The compilation of all content on this Site is the exclusive property of Energy Wire and protected by U.S. and international copyright laws. All software used on this Site is the property of Energy Wire or its software suppliers and protected by United States and international copyright laws.

7. USE OF THE ENERGY WIRE SEAL OF APPROVAL.

The Energy Wire Seal Of Approval may only be used by quality approved members. The format of the Energy Wire Seal Of Approval may not be changed. Approved members may reproduce the Energy Wire Seal Of Approval for use in print media such as newspaper advertisements, telephone directory advertisements, stationery, business cards, fliers, brochures and newsletters. In addition approved members may place the Energy Wire Seal Of Approval on their company website.

8. GOVERNING LAW.

This Agreement is entered into in the State of Oregon and it shall be interpreted, construed and governed by the laws of the State of Oregon, without reference to its laws relating to conflicts of law. Venue for all disputes arising under this Agreement or resulting from a Site visitor's access or use of the Site shall lie exclusively in the courts located in Washington County, Oregon, and you hereby consent to the personal jurisdiction of such courts.
